Board members will be aware that the draft Memorandum and Articles were prepared by our legal advisers following their review of the current IWF Mem and Arts, our remit and the constitution.  A number of specific issues were also highlighted with them.

 

We have received a number of comments and responses to the draft documents and some of those have been addressed through subsequent alternative proposals.

 

Following discussions it is felt that we need longer to consider these documents which are fundamental to the application for charitable status.   

In order to accommodate a period of consultation it is recommended that:

a) a consultation period of four weeks from the date of last week’s Funding Council be allocated in order to receive and consider all comments on the draft documents;

b) a Working Group be formed from Funding Council and Board members to review the consultation responses and consult IWF legal advisers on the issues raised; 

c) Funding Council and Board meetings to be called for approximately one month from the 6 October and 12 October respectively in order to approve the revised draft.
